Agent Terms & Conditions

Effective Date: 18 May 2026

These Agent Terms and Conditions (“Agent Terms”) apply to all individuals providing services on behalf of Let’s Just Talk OK (“Company”, “we”, “our”, “us”).

ROLE OF AGENTS

Agents provide supportive conversation and listening services to customers.

Agents are not authorised to:

Offer medical advice;

Offer therapy or counselling unless formally qualified and authorised;

Diagnose mental health conditions;

Promise outcomes;

Provide legal or financial advice.

Agents must always represent the service honestly and professionally.

EMPLOYMENT STATUS

Unless otherwise agreed in writing, agents operate as independent contractors and not employees.

Nothing in this agreement creates:

  • Employment;
  • Partnership;
  • Joint venture;
  • Agency authority.
  • Agents are responsible for:
  • Their own taxes;
  • National Insurance contributions;
  • Equipment;
  • Internet and phone access.

ELIGIBILITY REQUIREMENTS

Agents must:

  • Be at least 18 years old;
  • Have the legal right to work in their jurisdiction;
  • Provide accurate identity information;
  • Maintain professional conduct.
  • Background checks may be requested where legally permitted.

AGENT CONDUCT

Agents must:

  • Treat customers respectfully;
  • Maintain confidentiality;
  • Avoid manipulation or exploitation;
  • Avoid romantic or inappropriate relationships with customers;
  • Remain calm and professional;
  • Follow safeguarding procedures.
  • Agents must not:
  • Harass customers;
  • Use discriminatory or abusive language;
  • Request money or gifts from customers;
  • Share personal contact details;
  • Communicate with customers outside approved systems.

CONFIDENTIALITY

All customer information is confidential.

Agents must not:

Share customer details;

Record conversations without permission;

Disclose internal business information.

Confidentiality obligations continue after the working relationship ends.

SAFEGUARDING AND ESCALATION

Agents must immediately escalate situations involving:

  • Threats of self-harm;
  • Threats against others;
  • Abuse disclosures;
  • Criminal activity;
  • Serious safeguarding concerns.

Agents must follow all safeguarding and escalation procedures provided by the Company.

DATA PROTECTION

Agents must comply with:

  • UK GDPR;
  • Data Protection Act 2018;
  • Company privacy procedures.

Customer information must only be accessed where necessary for authorised work.

PAYMENTS TO AGENTS

Agent compensation, rates, and payment schedules will be communicated separately.

We reserve the right to withhold payments where:

  • Fraud is suspected;
  • Serious misconduct occurs;
  • Terms are breached.

INTELLECTUAL PROPERTY

Any training materials, scripts, branding, processes, and internal systems remain the property of Let’s Just Talk OK.

Agents may not copy or distribute internal materials without permission.

NON-SOLICITATION

Agents must not:

Attempt to move customers off-platform;

Offer competing services directly to customers introduced through the Company;

Solicit Company staff or customers for competing businesses.

This restriction applies during the relationship and for 12 months after termination.

TERMINATION

We may suspend or terminate an agent immediately for:

  • Misconduct;
  • Breach of confidentiality;
  • Safeguarding failures;
  • Abuse;
  • Fraudulent activity;
  • Reputational damage.

Agents may cease providing services at any time subject to reasonable notice requirements.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company shall not be liable for:

  • Loss of earnings;
  • Indirect damages;
  • Consequential losses;
  • Technical interruptions.

Nothing excludes liability that cannot legally be excluded.

CHANGES TO THESE TERMS

We may update these Agent Terms periodically.

Continued provision of services after updates constitutes acceptance.

GOVERNING LAW

These Terms are governed by the laws of England and Wales.

Disputes shall be subject to the jurisdiction of the courts of England and Wales.
